Terms of Service

Please read these Terms carefully before using Zeriq. They govern your use of the platform and the relationship between you and Zeriq.

1. Acceptance of Terms

By accessing or using Zeriq (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms apply to all users, including visitors, free users, and paying customers.

2. Description of Service

Zeriq provides an AI teammate platform and AI-powered IDE that enable teams to collaborate with AI workers across tools, meetings, and codebases. The Service includes AI Team Members, Zeriq IDE, integrations with third-party tools, and associated web and mobile applications.

3. Accounts & Organisations

You must create an account to use the Service. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Each organisation workspace is governed by the admin who created it. Admins are responsible for managing member access and ensuring members comply with these Terms.

4. Acceptable Use

You agree not to use the Service to: (a) violate any applicable law or regulation; (b) transmit harmful, offensive, or illegal content; (c) attempt to circumvent rate limits, credit metering, or authentication controls; (d) use the Service to build a competing product without our written consent; (e) reverse-engineer or attempt to extract model weights or proprietary algorithms; (f) generate spam, phishing content, or misleading information at scale.

5. Credits & Billing

Paid plans include a monthly credit allowance that resets each calendar month. Unused monthly credits do not carry over. Top-up credits are non-expiring and are consumed after monthly allowance is exhausted. All purchases are final; credits are non-refundable unless required by law. Subscription fees are billed monthly in advance. You may cancel at any time; access continues until the end of the paid period.

6. Free Tier & Fair Use

Free accounts are subject to daily message limits on the free AI model. We reserve the right to adjust free-tier limits to protect service availability. Automated or scripted use of the free tier that circumvents fair-use caps is prohibited.

7. Third-Party Integrations

The Service integrates with third-party platforms (GitHub, Slack, Jira, Notion, etc.). Your use of those platforms is governed by their respective terms. We are not responsible for the availability, accuracy, or conduct of third-party services.

8. AI-Generated Content

AI outputs are generated by large language models and may be inaccurate, incomplete, or inappropriate. You are responsible for reviewing all AI-generated content before acting on it or sharing it externally. Zeriq makes no warranties regarding the accuracy or fitness of AI outputs for any particular purpose.

9. Intellectual Property

You retain ownership of content you upload or create using the Service. By using the Service, you grant Zeriq a limited licence to process your content solely to deliver the Service. Zeriq retains all rights to the platform, its source code, models, and brand assets.

10. Data & Privacy

Our collection and use of your personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

11. Warranties & Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZERIQ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO ZERIQ IN THE 12 MONTHS PRECEDING THE CLAIM.

13. Termination

We may suspend or terminate your account if you breach these Terms, engage in fraudulent activity, or if the Service is discontinued. Upon termination, your right to access the Service ceases immediately. We will provide reasonable notice except in cases of serious breach.

14. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or in-app notice at least 14 days in advance. Continued use of the Service after that date constitutes acceptance of the updated Terms.

15. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
